1. Acceptance of Terms

These Terms form a binding agreement between you and Nodewave. They apply together with our Privacy Policy, which is incorporated by reference. If you use the Website or our services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Definitions

In these Terms, "Website" means nodewave.id and all of its pages and content. "Services" means the technology services we provide, including custom software development, ERP, artificial intelligence, big data and analytics, computer vision, and cyber security solutions.

"Content" means all text, graphics, logos, images, software, and other materials made available on the Website, and "You" or "User" means any person who accesses the Website or engages our Services.

3. Our Services

The Website presents information about Nodewave and the Services we offer. Descriptions, case studies, and other materials on the Website are provided for general information and do not constitute a binding offer.

Any engagement for Services is governed by a separate written agreement, such as a proposal, statement of work, or service contract, which sets out the specific scope, deliverables, timelines, fees, and other commercial terms. In the event of a conflict between these Terms and a signed agreement, the signed agreement prevails for that engagement.

4. Use of the Website

You agree to use the Website lawfully and responsibly. You must not use the Website in any way that breaches applicable laws or regulations, attempt to gain unauthorised access to the Website, its servers, or any connected systems, or introduce viruses, malware, or any other harmful or disruptive code.

You must also not copy, reproduce, or republish Content without our prior written permission, use automated tools to scrape or harvest data from the Website in a manner that places an unreasonable load on our infrastructure, or use the Website to transmit unsolicited or unauthorised advertising or other unlawful content.

5. Intellectual Property

Ownership of intellectual property created during a client engagement is governed by the relevant signed agreement for that engagement and not by these Terms.

6. Client Engagements and Proposals

Any quotations, estimates, or proposals we provide are valid only for the period stated in them and are subject to a final signed agreement. Project scope, fees, payment schedules, acceptance criteria, and warranties are defined in that agreement. Information you provide to us in connection with a potential engagement should be accurate and complete.

7. Fees and Payment

Fees for Services are set out in the applicable signed agreement. Unless that agreement states otherwise, fees are exclusive of taxes, and payment terms, invoicing, and late-payment provisions are governed by that agreement.

8. Confidentiality

We treat client information shared during enquiries and engagements as confidential and use it only for the purpose for which it was provided. Detailed confidentiality obligations for an engagement are set out in the relevant signed agreement.

9. Third-Party Services and Links

The Website may reference or link to third-party tools, services, or websites. We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is subject to their own terms.

10. Disclaimers

The Website and its Content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we make no warranties, express or implied, regarding the Website, including its accuracy, reliability, availability, or fitness for a particular purpose. Liability arising from a Services engagement is governed by the relevant signed agreement.

You agree to indemnify and hold harmless Nodewave and its directors, employees, and agents from any claims, damages, liabilities, and expenses arising from your misuse of the Website or your breach of these Terms.

13. Suspension and Termination

We may suspend or restrict access to the Website at any time, without notice, if we reasonably believe you have breached these Terms or to protect the Website and other users. Provisions that by their nature should survive termination, including intellectual property, disclaimers, and limitation of liability, will continue to apply.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia. Any dispute arising from or in connection with these Terms or the use of the Website will first be addressed through good-faith discussions. If a resolution cannot be reached, the dispute will be submitted to the competent courts of Jakarta, Indonesia.

We may update these Terms from time to time. When we make material changes, we will update the date at the top of this page. Your continued use of the Website after changes take effect constitutes acceptance of the revised Terms.
